Terms of Service

These Terms of Service ("Terms") govern your use of the Dayla platform ("Service"), operated by Dayla SAS ("we", "our", "us"). By creating an account or using the Service at app.getdayla.com, you agree to be bound by these Terms.

If you are using Dayla on behalf of a business, you represent that you have authority to bind that business to these Terms.

Dayla is a profitability analytics platform for Shopify merchants. The Service allows you to:

• Connect your Shopify store to track revenue, orders and refunds
• Connect advertising platforms (Meta Ads, Google Ads, TikTok Ads, Snapchat Ads) to track ad spend
• Configure product costs (COGS), shipping costs and fixed expenses
• View profitability dashboards, KPIs and performance analytics

The Service provides analytics based on the data you connect. We do not guarantee the absolute accuracy of calculations, as they depend on the completeness of the data you provide and the availability of third-party APIs.

To use Dayla, you must create an account with a valid email address. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at contact@getdayla.com

You must be at least 16 years old to create an account. One person or business may maintain multiple accounts only if each is associated with a different Shopify store.

Dayla offers multiple subscription plans, including a free tier with limited features. Paid subscriptions are billed through the Shopify Billing API and appear on your Shopify invoice.

• Subscriptions are billed monthly or annually depending on the plan you choose
• You may upgrade, downgrade or cancel your plan at any time from your Dayla settings
• Downgrades take effect at the end of the current billing period
• Refunds are handled according to Shopify's billing policies

We reserve the right to modify pricing with 30 days' advance notice. Existing subscriptions will remain at their current price until the next renewal.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile or extract the source code of the Service
• Access or scrape data from the Service using automated means (bots, crawlers) without authorization
• Share your account credentials with unauthorized third parties
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to compete directly with Dayla or build a similar product
• Resell, sublicense or redistribute access to the Service

We reserve the right to suspend or terminate accounts that violate these terms.

Dayla connects to third-party platforms (Shopify, Meta, Google, TikTok, Snapchat) through their official APIs. By connecting these platforms:

• You authorize Dayla to access your data on those platforms as described in our Privacy Policy
• You remain subject to each platform's own terms of service
• We are not responsible for changes, outages or data inconsistencies caused by third-party platforms
• You may disconnect any integration at any time from your Dayla settings

Your data remains yours. You retain all ownership rights to the data you provide to or connect with Dayla. We do not claim any intellectual property rights over your store data, product information, financial figures or advertising metrics.

You grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service. This license terminates when you delete your account.

The Dayla platform, including its design, code, features, documentation, branding and all related intellectual property, is owned by Dayla SAS and protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription period.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

• We do not guarantee that the Service will be uninterrupted, error-free or completely secure
• Profitability calculations are estimates based on the data you provide and third-party API data — they should not be used as the sole basis for financial or business decisions
• We are not a financial advisory service and do not provide tax, legal or accounting advice

To the maximum extent permitted by law, Dayla SAS shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, business opportunities or goodwill.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the total amount you paid to Dayla in the 12 months preceding the claim.

You may cancel your account at any time. Upon cancellation:

• Your access to the Service will end immediately
• Your data will be deleted within 30 days as described in our Privacy Policy
• Any remaining subscription period will not be refunded unless required by law

We may suspend or terminate your access if you violate these Terms, with notice when practicable.

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

These Terms are governed by and construed in accordance with the laws of France. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.
